1. Provider and acceptance
Phở ơi is a product of Phooi Inc., a California company in the United States. These Terms govern the promotional website and, when released, the Phở ơi app and features. Contact: hello@phooi.com.
Please read these Terms and the Privacy Policy when using the service. Accounts, transactions or features requiring express acceptance will include an acceptance mechanism before use. The Privacy Policy explains data processing; accepting these Terms does not replace separate data consent where required. If you disagree with applicable Terms, stop using the relevant service.
2. Promotional website and planned features
The current website introduces the product direction. It does not directly provide accounts, voice trials, calls, messages, orders or payments. Illustrations, commands and videos do not confirm that an action has been performed.
Features, supported platforms, launch timing and prices may change during development. “Coming soon on App Store & Google Play” does not mean the app is already downloadable. Specific purchase information and commitments will be presented at the time of a transaction.
3. Eligibility and account security
You must have the legal capacity to accept the agreement. Minors must meet age and representative-consent requirements under applicable law. Specific app age rules will be published before registration opens.
When accounts become available, provide accurate required information, update it when necessary and protect login credentials. Notify us promptly if you suspect loss of control. Responsibility for account activity depends on fault, control and applicable law; unauthorized access is not automatically deemed your fault.
Do not create accounts in bulk to hoard names, evade restrictions, abuse offers or manipulate the service. You must have appropriate authority to register for a business.
4. Usernames and rights to use names
Usernames are system identifiers allocated subject to availability and published policies. Registration creates no ownership, trademark or permanent use right. Do not sell, rent, transfer, broker or trade usernames or accounts outside mechanisms authorized by Phooi Inc.
Short names, popular names, keywords, brands, institutions or public-figure names may be reserved, require verification or have special conditions disclosed before registration. Paid name plans, if introduced, must disclose price, duration, renewal, loss of use and refunds before purchase. Payment does not guarantee rights outside Phở ơi.
Do not impersonate others, imply false verification or affiliation, infringe rights, use names expressing hate, threats, unlawful sexual content or fraud, or speculate to extort or obstruct legitimate rights holders.
We may refuse, restrict, change or reclaim names to comply with law, prevent impersonation, resolve rights disputes, correct errors or apply published reservation policies. Where appropriate, we will explain, allow a response or offer selection of another name. A name change does not automatically remove other account rights.
Inactive names may be reclaimed only under previously published criteria and periods, with reasonable notice where feasible. Mandatory refund rights and promised rights remain protected. Submit name complaints with evidence of rights and confusion to hello@phooi.com. Trademark ownership does not automatically guarantee every matching username.
5. License and intellectual property
While you comply with these Terms, you receive a limited, nonexclusive, nontransferable right to use the service for permitted personal or work purposes. Software, designs, logos, brands and content supplied by Phooi Inc. belong to Phooi Inc. or its licensors.
Do not copy for resale, unlawfully distribute software, remove ownership notices, bypass security or use branding to imply official affiliation. Reverse-engineering restrictions apply only to the extent permitted by law and do not remove lawful exceptions or rights under applicable open-source licenses.
6. AI, market information and use limitations
AI may give incorrect, incomplete, outdated or fabricated answers. Verify important facts, sources and update times before acting. Gold, currency, stock and cryptocurrency information may be delayed or differ from actual trading prices; it is not a guaranteed quote or personalized investment recommendation.
Phở ơi does not replace medical, legal or financial professionals or emergency systems. Do not use AI output as the sole basis for decisions seriously affecting a person's health, legal rights, credit, employment or safety. In an emergency, contact local emergency services.
Outputs may resemble those supplied to others. Check usage rights before publication or commercial use. The service does not guarantee that every output is exclusive or free from third-party rights.
7. Voice commands and action confirmation
Voice functionality depends on permissions, background noise, connectivity and recognition. Wake phrases or commands may be misunderstood. Before consequential actions such as sending messages, ordering, changing appointments or controlling devices, check content, recipients, locations, times and costs at the provided confirmation step.
Do not rely solely on reminders or smart devices for safety-critical needs. Do not handle your phone in ways that distract from driving. You must be authorized to control integrated devices or accounts and to record or transmit audio involving others. Features in development do not guarantee support for every device, voice or environment.
8. Calls, messages and user connections
Planned calls and messages are for in-app users within the scope disclosed at launch. Do not assume support for ordinary telephone numbers, incoming telecommunications calls or emergency calling. Quality depends on devices, permissions and networks.
Do not send unauthorized bulk messages, harass others or contact people despite blocks. Check recipients and respect privacy. Blocking, reporting, history and deletion capabilities will be described according to actual features. End-to-end encryption is not promised unless announced and implemented.
9. Your content and the license you grant
You retain your existing rights in submitted content and must have lawful authority to send or share it. You grant Phooi Inc. a nonexclusive right limited to storing, transmitting, displaying to intended recipients, converting formats and processing as necessary to provide requested features, secure the service and handle related reports.
This is not permission to sell private content or use your image in advertising. AI training or other data uses must follow relevant notices, choices and legal grounds. After content deletion or account closure, processing rights continue only as necessary and lawful, such as limited backups or dispute resolution.
10. Prohibited conduct and reports
Do not use the service for fraud, impersonation, threats, harassment, incitement to violence, child exploitation or abuse, unlawful content, or violations of privacy or intellectual property. Do not distribute malware, steal information, conduct unauthorized scanning, overload systems, collect data without authority or bypass access limits.
Do not automate high-risk actions without appropriate review or use accounts to conceal prohibited conduct. Send reports with relevant links, usernames and necessary evidence to hello@phooi.com. Do not resend unlawful material where doing so could cause harm or violate law.
We may review reports and apply proportionate measures, including warnings, content or feature restrictions, suspension or termination. You may request reconsideration at the same email. In emergencies, security situations or where legally required, we may act before notifying you.
11. Reservations, orders and third-party services
When available, reservation, appointment and ordering features may forward requests to independent providers. Check the provider, prices, fees, time, location, cancellation rules and confirmation status. AI receipt of a command does not mean a partner accepted it or a transaction succeeded.
Unless expressly stated in the transaction, Phở ơi is not the restaurant, delivery company or professional service provider. Responsibilities will be explained in the service flow. Third-party terms do not remove mandatory duties of Phooi Inc. for its own services. External links have separate policies; read them before supplying information.
12. Business services and customer data
Customer support, scheduling, internal calls, reminders and work management may require supplementary agreements covering scope, fees, administration, support and data processing. No uptime, 24/7 support or service-level commitment is implied without agreement.
Businesses must have authority to upload customer or employee information, provide required notices, manage access and review AI results. Medical, financial or other regulated data may be processed only when the solution and agreements meet relevant requirements. Industry examples on the website are not certifications of sector compliance.
Signed business agreements take priority for specifically addressed services, without removing mandatory individual rights.
13. Pricing, subscriptions, renewal and refunds
The promotional website currently charges no fees and accepts no payments. Paid plans, if introduced, will disclose prices, currency, taxes and fees, limits, billing periods, trial conditions, automatic renewal and cancellation before purchase. We will obtain acceptance as legally required.
For App Store or Google Play purchases, subscription management, payment and refund requests follow the platform's procedures alongside statutory rights. Removing the app or closing an account does not necessarily cancel a store subscription; complete the appropriate cancellation process.
Cancellation generally prevents the next renewal. End-of-access timing and specific refund conditions will be shown in the plan. No no-refund term excludes mandatory refund, cancellation or remedy rights. Price and renewal changes will be notified and confirmed where required by law.
14. Service changes, suspension and account closure
We may update, test, maintain or discontinue features for operational, security or legal reasons. For material changes affecting paid benefits, we will provide reasonable notice and appropriate remedies under commitments and law. Change rights will not be used unlawfully to remove paid entitlements.
Accounts may be restricted or suspended on grounds of violations, safety risks or lawful requirements. Where appropriate, we explain the reason and review process; some details may be withheld to protect investigations, other people or systems.
You may stop use or request closure through hello@phooi.com and in-app mechanisms when available. Remaining data is handled under the Privacy Policy. Valid payment duties, dispute provisions and terms necessarily surviving termination remain effective as needed.
15. Availability and limitations of liability
To the extent permitted by law, services are provided in their actual condition and subject to availability. We do not guarantee uninterrupted or error-free operation, compatibility with every device or accuracy of every AI output. This does not exclude applicable mandatory quality standards, security duties or specific commitments.
To the extent permitted, Phooi Inc. is not responsible for indirect or consequential losses outside its legal responsibility. Nothing excludes liability for fraud, intentional conduct, fault or harm that cannot lawfully be excluded, or restricts mandatory consumer, personal-data or remedy rights.
Each party's responsibility depends on conduct, causation, applicable obligations and law, not merely on your use of AI.
16. Governing law and dispute resolution
As selected in these Terms, Vietnamese law governs to the extent that choice is legally permitted. Mandatory consumer and personal-data protections at your place of residence or applicable to Phooi Inc. remain preserved.
Send complaints with the issue, evidence and proposed resolution to hello@phooi.com. We and you will try to resolve matters in good faith. This step does not prevent urgent relief, regulatory complaints or filing within statutory deadlines.
Unresolved disputes may be brought before competent authorities under applicable law. These Terms do not impose mandatory arbitration, automatically require consumers to sue in California or remove mandatory procedural rights.
17. Updates, severability and contact
Updates will be published with a revision date. Material changes will receive appropriate advance notice and renewed acceptance where required. Adverse changes will not be applied retroactively to completed transactions contrary to law or agreement.
If a provision is unenforceable, remaining provisions continue to the extent lawful. Failure to exercise a right is not automatically a waiver. Separate written agreements govern their specifically addressed matters.
